DESIGN AGREEMENT

Our utmost desire is to please our clients. One way to accomplish this goal is to make clear our basic understandings when doing business with each other.

Outlined below are the terms of the service between Ignition Creative Group and every client; for any given project with or without a signed contract:

1. AUTHORIZATION

As a potential client, you would be engaging Ignition Creative Group LLC, as an independent contractor for the specific project of printing, graphic design, web design, marketing and advertising consultation, or illustration material.

2. STANDARD DESIGN PACKAGE ELEMENTS

Ignition Creative Group LLC includes the following elements in a standard design package:

E-mail / phone / or on site initial consultation to determine the scope of the project.
Estimate of the cost of services.
A total estimated price for the completed project will be provided up front based on the provisions of this agreement.
Words of text supplied by the client unless agreed upon that Ignition Creative Group, LLC will create and write copy.
Photos and other miscellaneous graphic images supplied by client.
Additional graphics and photography needed for design will be billed at a rate consistent with cost and time associated.
Revisions and changes to design will include 3 design / revision meetings. Any additional revisions and / or changes will be subject to the limits outlined below. Additional changes billed at hourly rate of $115/hour.
All design projects will meet the minimum billing requirement of 1 hour and will be subject to the hourly rate of $115/hour.

3. COMPLETION DATE

Ignition Creative Group LLC and the client must work together to complete the design in a timely manner. We agree to work expeditiously to complete the design within the time agreed upon by both parties.

4. PAYMENT OF FEES

Fees to Ignition Creative Group LLC are due and payable on the following schedule (unless otherwise noted in the contract or agreed upon before project initiation): 50% upon signing a contract, 50% when the design has been completed according to the client’s original written specifications. Files may be delivered to the client on disk and / or attached to an e-mail message. Final high-resolution files will be supplied to the client only after the final payment is made.

5. ASSIGNMENT OF PROJECT

Ignition Creative Group LLC reserves the right to assign subcontractors to this project to insure the right fit for the job as well as on-time completion.

6. LEGAL STUFF

In no event will Ignition Creative Group LLC be liable to the client or any third party for any damages, including any lost profits, lost savings or other incidental, consequential or special damages arising out of the content of any design work that has been approved.

7. COPYRIGHTS & TRADEMARKS

The client represents to Ignition Creative Group LLC and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to Ignition Creative Group LLC for inclusion in design are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend Ignition Creative Group LLC and its subcontractors from any claim or suit arising from the use of such elements furnished by the client.

8. COPYRIGHT TO DESIGN

Copyright to the finished assembled work of design produced by Ignition Creative Group, LLC is owned by Ignition Creative Group, LLC. Upon final payment of this contract, the client is assigned rights to use the design, graphics, and text contained in the finished assembled product to be used for the intended purpose as agreed upon when the payment terms were established. Additional usage requires permission from Ignition Creative Group and additional charges may apply. Rights to photos, graphics, source code, and computer programs are specifically not transferred to the client, and remain the property of their respective owners. Ignition Creative Group, LLC and its subcontractors retain the right to display graphics and other design elements as examples of their work in their respective portfolios.

9. PAYMENT OF FEES

In order for Ignition Creative Group LLC to remain in business, payments must be made promptly. Delinquent bills will be assessed a $15 charge if payment is not received within 10 days of the due date. If an amount remains delinquent 30 days after its due date, an additional 6% penalty will be added for each month of delinquency. In case collection proves necessary, the client agrees to pay all fees incurred by that process. Regardless of the place of signing, e-mailing or verbally entering into this agreement, the client agrees that for purposes of venue, this contract was entered into in Wasatch County, Utah, and any dispute will be litigated or arbitrated in Wasatch County, Utah.

10. SOLE AGREEMENT

The agreement contained within our “Design Contract” constitutes the sole agreement between Ignition Creative Group LLC and the client regarding this project. Any additional work not specified in the contract must be authorized by a written change order. All prices specified in the contract will be honored for six (6) months after both parties agree to this contract. Continued services after that time will require a new agreement.

11. INITIAL PAYMENT & REFUND POLICY

Our contractual agreement will begin with an initial down payment of 50% of the estimated cost. If the client halts work and apply by registered letter for a refund within 30 days to:

Work completed shall be billed at the hourly rate stated in the contract, and deducted from the initial payment, the balance of which shall be returned to the client. If at the time of the request for a refund, work has been completed beyond the amount covered by the initial payment, the client shall be liable to pay for all work completed at the hourly rate stated above. No portion of this initial payment will be refunded unless written application is made within 30 days of signing this contract.
